Constitution
The association shall be called the Ophir Karate Association ( hereinafter referred to as the Association).
The object of the Association shall be to promote traditional Wado kai karate.
1.1 The membership shall consist of the following categories: chief instructor, senior instructors, assistant instructors, and students.
1.2 The membership fees shall be agreed at each Annual General Meeting.
1.3 All members joining the Association shall be deemed to accept the terms of this Constitution and any by-laws from time-to-time adopted by the Association.
2.1 The affairs of the Association shall be conducted by the Executive Committee which will consist of the officers of the Association and a minimum of two students.
2.2 The officers of the Association, who will be honorary, will consist of a chairman, a vice-chairman, treasurer and secretary, all of whom will be elected annually at the AGM, as will be the said two students. If the post of any officer or student member falls vacant after such an election, the Executive Committee will have the power to fill the vacancy.
2.3 All Executive Committee members will be active members of the association.
3.1 Annual General Meeting.
· The Association will hold an AGM in the month of September to:
· Approve the minutes of the previous year’s AGM
· Receive the report of the Chairman and approve the annual accounts
· Receive a report from the auditors
· Elect the Executive Committee
· Appoint auditors for the association accounts
· Consider any changes to the constitution
· Renew and consider any bye-laws
· Deal with any other relevant business
3.2 Extraordinary General Meeting.
An Extraordinary General Meeting shall be called by an application in writing to the Secretary, supported by at least five members of the Association. The Executive Committee shall also have the power to call an Extraordinary General Meeting by decision of a simple majority of its members.
3.3 At least thirty days notice and the agenda shall be given to all voting members of any General Meeting.
3.4 Voting.
· With exception of changes to the constitution, simple majority at General Meetings shall resolve decisions put to a vote.
· The Chairman of the Association shall hold a deliberative as well as casting vote.
3.5 Quora.
· The quorum at General Meetings shall be twenty members and the quorum for Committee meetings shall be four members.
3.6 Changes to the Constitution.
· Any changes to the Constitution shall require two-thirds majority of those present and eligible to vote and voting at a General Meeting.
· A proposal to change the Constitution must be submitted in writing to the secretary who shall circulate the proposal to all members and allow seven days for submission of any amendments before calling a meeting in accordance with Rule 3.3 above.
· All proposals for change to the Constitution shall be signed by two members eligible to vote at a general meeting.
4.1 The financial year shall run from September 1 to August 31 of the following year.
4.2 The Honorary Treasurer shall be responsible for the preparation of the annual accounts of the Association.
4.3 An independent person elected annually at the AGM shall audit the accounts.
4.4 All cheques drawn against association funds shall be signed by the Treasurer and one other nominated office-bearer.
4.5 All members of the association shall be jointly responsible for the financial liabilities of the Association.
5.1 The Executive Committee shall have the power to publish and enforce such byelaws, as the Committee feels necessary to govern the activities of the Association.
5.2 In the event of dissolution of the Association, any assets thereof shall not be distributed amongst the members of the Association in any way but shall be paid in total to Christian Aid and Trocaire, verified by two adults, independent of, and approved by the Committee.
